Terms of Business

Please read this carefully.

This area sets out the terms and conditions on which you may use LifeBase OnLine at www.lifebase.co.uk ('the Site').  By accessing LifeBase OnLine you are agreeing to the terms and conditions below. If you use LifeBase OnLine in the course of your business, you are agreeing to these terms and conditions on behalf of that business.  If you do not agree with the terms and conditions (or are not authorised to do so) you should not use the Site.

Unless otherwise stated, copyright and other intellectual property rights in the data, analysis and all other material on this site is owned by us (Boal & Co Ltd).

These terms and conditions apply with effect from 24 September 2003 and replace all previous terms and conditions for the Site.  We may change, alter or withdraw any part of the Site at any time (with or without notice to you) and may also change the terms and conditions.  If applicable, notice will be given by message to your email address and will be deemed to be served 3 hours after being sent by us.  If you do not agree to the changes you should cease using the Site and you may cancel your subscription to any Paid For Services in accordance with your rights set out in Section 8.  We will publish details of any changes to the terms and conditions in Section 10 below.  You should regularly check Section 10 of these terms and conditions to see if any changes have been made - by using the Site after we have posted the changes, you are agreeing to be bound by them.  References in these terms and conditions to "We" (or "we", "us" or "our") refer to Boal & Co Ltd of Harbour Mews, Parliament Square, Castletown, Isle of Man IM9 1LA.

1.             Access and Use

The Site is split into two levels of access, both of which are for registered users only.  The first level contains only a limited amount of basic, standing data and is free to use.  The second level contains all of the content, including detailed data and analysis tools, and is available to you only if you are a paying subscriber. 

You may not use the Site for any unlawful purpose.

You may not use the Site if you are US person. In particular, the Site is reserved exclusively for non-US Persons and should not be accessed by any person in the United States of America. For this purpose, a "U.S. Person" includes without limitation: any natural person resident in the USA.; any corporation or partnership incorporated or organised in the USA; any branch or agency of a foreign entity located in the USA; and any entity organised or incorporated for the purpose of evading U.S. securities laws.

You may print and download extracts from this site only on the following conditions:

(a) the documents and related graphics on this site are for use only within a company or other organisation holding appropriate authorisation to advise in relation to life assurance business;

(b) any extracts which are printed may only be used for personal viewing or for viewing within the company or organisation by which they were printed ;

(c) neither pages saved to disk or stored in any way, nor extracts printed, may be distributed to third parties or sold or otherwise circulated for profit;

(d) no documents or related graphics on this site are to be modified in any way;

(e) graphics on this site are not to be separated from the accompanying text; and

(f) our copyright notice (i.e. LifeBase OnLine © Boal & Co Ltd) must appear in all copies.

Without limitation, you may not do any of the following without prior written permission from us (and neither may you allow a third party to do any of the same):

i)      create a database in electronic or structured manual form by systematically downloading and storing all or any of the Site; or

ii)     deep link to, frame, spider, harvest or scrape the Site or otherwise access the Site for similar purposes; or

iii)     use any machine, electronic, web based or similar device to read or extract the Site by automated or machine based means.

Subject to Section 9 below, while we try to ensure that this site is normally available 24 hours a day, we will not be liable if for any reason the site is unavailable for any period of time.   Access to the Site may be suspended temporarily or permanently and without notice.


2.            Disclaimer

We try to ensure that the information on the Site is correct, but we do not give any express or implied warranty as to its accuracy.  We expressly do not accept any liability for error or omission.

Except to the extent stated elsewhere in this document, we are not liable for any damages (including, without limitation, damages for loss of business or loss of profits) arising in contract, tort or otherwise from the use of or inability to use the Site, or any material contained in it, or from any action or decision taken as a result of using the Site or any such material.

Part of the Site contains material sent to us by third parties.  These third parties are responsible for ensuring that the material they submit to us complies with national and relevant foreign law.  We are not responsible for any error, omission or inaccuracy in the material.  We reserve the right to omit, suspend or edit any material submitted.

The materials on the Site do not constitute financial or other professional advice. You should consult a professional adviser if you require financial advice.

This website offers links to other sites. We do not control the linked sites (other than www.boal.co.uk) and we are not responsible for the contents of any linked site or any link in a linked site, or any changes or updates to such sites. We are not responsible for webcasting or any other form of transmission received from any linked site. We provide these links to you only as a convenience, and the inclusion of any link does not imply our endorsement of the site.

3.            Privacy Policy and Registration

All information received by us from your use of the Site will be used by us in accordance with our Privacy Policy.  On registration, you must provide us with accurate, complete registration information and it is your responsibility to update and maintain changes to that information on the applicable registration pages. This is particularly important if you subscribe to Paid For Services.  We are entitled to rely on any information you provide to us. 

Each registration is for a single user only. On registration, you will choose a user name and password ("ID").   We do not permit any other person sharing your user name and password, or access by multiple users on a network through a single name and password.  We may cancel or suspend your access to the Site if you do this, without further obligation to you.  Equally, we may cancel your access to the Site without further obligation to you if we discover that you have contrived to provide inaccurate registration information or have made false representations to us in relation to your eligibility to use the Site.

You are responsible for all use of the Site made by you or anyone else using your ID and for preventing unauthorised use of your ID.  If you believe there has been any breach of security such as the disclosure, theft or unauthorised use of your ID or any payment information, you must notify us immediately by e-mailing support@lifebase.co.uk. 

4.            Technical Requirements and Site Security

The Site is best viewed using the Internet browsers IE6 (or later versions). Any older browser versions may work but users could have limited browsing experience. Any payment information you send to us over the Internet is encrypted using 128 bit Secure Socket Layer technology. SSL is currently the preferred method to securely transfer credit card data over the Internet.

5.            Warranties And Limitation Of Liability

The Site is only for your general information and use and is not intended to address your particular requirements.  In particular, the Site does not constitute any form of advice, recommendation, representation, endorsement or arrangement by us.  Appropriate investment advice should be obtained from other sources before making any such decision.

We are not responsible for any use of the Site by you outside its scope as stated in these terms and conditions.

6.            Choice of Law and Jurisdiction

These terms and conditions shall be governed by, and construed in accordance with, Manx law.  To the extent possible in the applicable jurisdiction, the parties irrevocably agree that the courts of the Isle of Man shall (subject to the paragraph below) have exclusive jurisdiction to settle any dispute which may arise out of, under, or in connection with these terms and conditions, and for those purposes irrevocably submit all disputes to the jurisdiction of the Isle of Man courts. 

For our exclusive benefit and to the extent possible in the applicable jurisdiction, we do retain the right to bring proceedings as to the substance of the matter in the courts of the country of your residence or, where these terms and conditions are entered into in the course of your trade or profession, the country of the place of business in which you agreed to these terms and conditions or (if different) the country of your principal place of business.

7.            General

You may not assign, sub-license or otherwise transfer any of your rights under these terms and conditions.  If any provision of these terms and conditions is found to be invalid by any court having competent jurisdiction, the invalidity of that provision will not affect the validity of the remaining provisions of these terms and conditions, which shall remain in full force and effect.  Failure by either party to exercise any right or remedy under these terms and conditions does not constitute a waiver of that right or remedy. Headings in these terms and conditions are for convenience only and will have no legal meaning or effect.

8.         Paid For Services

The bulk of the content of the Site is available only to registered users on a "PAID FOR" basis.  By subscribing to receive this Paid For Service, as well as the above terms and conditions, you are also agreeing to the terms that appear below. 

You (or, if you are employed by a company, that company) agree to pay any subscription fees at the rates in effect when the charges are incurred. You must provide us with complete and accurate payment information.  You can pay by either credit or debit card.  By submitting credit or debit card payment details to us you warrant that you are entitled to purchase the Paid For Service using those payment details.  In the case of unauthorised payments we reserve the right to suspend or terminate your access to the Paid For Service.  If we do not receive payment authorisation or any authorisation is subsequently cancelled, we may immediately terminate or suspend your access to any Paid For Service. 

We will try to process your subscription promptly but do not guarantee that the Paid For Service will be available to you by any specified time. 

A contract with you for receipt of the Paid For Service will come into effect when we send you an email confirming your subscription details. 

There is no specific time limit applying to your use of the Paid For Service on these terms and conditions.  However, we reserve the right to suspend or terminate your subscription to the Paid For Service if you breach the terms and conditions, with or without notice and without further obligation to you. 

We will charge you in British Pounds Sterling. You may also have to pay any applicable credit card charges and local taxes.

Once you have completed the subscription process and your card has been authorised for payment, you will be given appropriate access to the Site.

The subscription price is set out on the pages which contain our subscription process. You can take out either an annual or monthly subscription which will automatically renew.  We will notify you in advance of any price increases.  If we give you a free trial, you will only be charged with effect from the expiry of that free trial period.

Your Internet Service Provider may also charge you for time spent accessing the Site in the same way you pay for telephone calls.

You may cancel your subscription at any time during any trial period by visiting the Preferences section, following the link to your Payment Details and clicking on the "end subscription" link.  We will refund you only in accordance with our Refunds Policy (see Section 9 below).

Any cancellation will be effective once we receive notice of it.  

 9.            Refunds Policy

If you decide to end your subscription to LifeBase OnLine, having paid monthly subscriptions, your monthly subscriptions will cease thereafter and no more payments will be taken.  We will not pay any pro rata refund in this case.

If you decide to end your subscription to LifeBase OnLine, having paid annual subscriptions, we will refund the remainder of your last annual subscription, less an administrative charge: the refund will be calculated on a pro rata basis for any unused whole months, less a 10% administration charge to cover associated expenses.  Refunds will be credited to the payment card detailed by you at the time of subscription.

If however we cancel your access to the Site for any reason listed in Section 3 above, no refund will be due.

10.            Changes to Terms and Conditions

These terms and conditions were published on  24 September 2003 and replace with immediate effect all previous terms and conditions.

11.            Customer Satisfaction

If for any reason you are unhappy with any element of the LifeBase OnLine subscription service, we will investigate every individual complaint and will endeavour to resolve any issues as quickly as is practical.
